Please read these Terms and Conditions ("Terms") carefully before using this website (the "Website") or any of the services (the "Services") provided by TRANZVIX HOSTING LTD ("Tranzvix", "we", "us", "our"). By accessing or using the Website or Services, you ("User", "You", "Customer") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website or Services.

1. Purpose

TRANZVIX HOSTING LTD provides hosting infrastructure and related services for personal and business use. These Terms establish the rules under which users may access and utilise our Services and Website.

2. Changes to the Terms

We reserve the right to update or modify these Terms at any time without prior notice. Continued use of the Website or Services following any such changes constitutes your acceptance of the updated Terms.

3. Acceptable Use Policy

To ensure network integrity and legal compliance, you agree not to engage in the following activities:

Violation of any of the above may result in immediate suspension or termination of services without notice or refund.

We operate active and passive security measures to protect our network. We reserve the right to scan, rate-limit, throttle, block, or otherwise mitigate traffic and content that appears malicious, abusive, or that threatens our infrastructure or other customers. Repeated or severe abuse may result in immediate account termination and recovery of costs related to mitigation and remediation.

3a. Adult Content Hosting

Adult content may be hosted on our Services only if one of the following conditions is met: (a) the content is accessible only through a private page requiring user authentication to login; or (b) the content is publicly accessible but proxied through Cloudflare or any other proxy service which hides our IP addresses from direct exposure. Failure to comply with these requirements will result in immediate suspension of the content and may result in termination of services. All adult content must comply with applicable laws and regulations in the jurisdiction where it is hosted and accessed.

4. User Responsibilities

You are solely responsible for all activity under your account. You agree to maintain accurate registration data, protect your account credentials, and ensure compliance with all applicable laws and regulations. You are responsible for securing and maintaining your content and data.

5. Account Registration

Accounts must be registered under accurate, lawful identities. Tranzvix reserves the right to deny or terminate accounts using false, offensive, misleading, or infringing information.

5a. Eligibility and Age

The minimum age to use our Services is 13 years old. Users who are under the age of majority or the legal age to provide consent in their country must obtain prior written consent from a parent or legal guardian before using the Services. Where local law sets a higher minimum age than 13, the higher age requirement applies (in most jurisdictions the age of majority is 18).

By registering for or using the Services you represent and warrant that you meet the applicable age requirements or have obtained the required parental or guardian consent. We reserve the right to request and verify proof of age or parental consent, and to suspend or terminate accounts that fail to comply with this policy.

6. Intellectual Property

All trademarks, service marks, logos, and content on the Website are owned by or licensed to TRANZVIX HOSTING LTD unless otherwise stated. You may not use these materials without express written permission, except that our logo may be used in promotional materials, blog posts, reviews, critiques, or similar editorial contexts without prior written authorization, provided such use is not misleading and does not imply endorsement by TRANZVIX HOSTING LTD.

7. Licence to User Content

By submitting or hosting content via Tranzvix's services, you affirm that you hold all necessary rights and licences to do so, and that your content does not infringe on the rights of any third party. You grant Tranzvix a limited, non-exclusive licence to store and transmit your content solely for the provision of the Services.

7a. User-Generated Content Policy

No Active Monitoring: TRANZVIX HOSTING LTD does not actively monitor, moderate, or pre-screen user-generated content. We act solely as an infrastructure provider and are not responsible for the content our customers create, upload, store, or transmit through our Services.

Reporting Procedures: If you believe content hosted on our Services violates applicable law or these Terms, you may report it by emailing abuse@tranzvix.com with: (a) specific URLs or locations of the problematic content; (b) detailed description of the violation; (c) your contact information; and (d) any supporting evidence or legal basis for the complaint.

Response Process: We will review reports and take action as legally required or as warranted under these Terms. Response times may vary depending on the severity of the reported content and our current workload. We may request additional information before taking action. Not all reports will result in content removal.

Enforcement Actions: For content that violates our Terms or applicable law, we may: remove or disable access to the content; suspend or terminate the associated account; preserve content for law enforcement; or take other actions as legally required. We are not obligated to provide detailed explanations for enforcement actions.

False Reports: Knowingly submitting false, misleading, or bad-faith reports may result in your own account suspension or termination. We may share reporter information with affected customers where legally appropriate.

Limitations: We cannot guarantee removal of all illegal or harmful content, nor can we prevent users from re-uploading removed content. Customers should implement their own content filtering and monitoring for business-critical applications.

8. Refund Policy

All payments to TRANZVIX HOSTING LTD are final. By purchasing and using our Services, you expressly consent to the immediate delivery of digital content and acknowledge that you thereby lose your right of withdrawal under Article 16(m) of Directive 2011/83/EU on Consumer Rights. This waiver applies regardless of usage, satisfaction, or early termination.

No refunds will be provided under any circumstances unless otherwise required by applicable law. This includes — but is not limited to — dissatisfaction, unused service time, or mistaken purchases. Notwithstanding the foregoing, TRANZVIX HOSTING LTD may, in its sole discretion, issue refunds or credits in exceptional circumstances. Any such refunds are discretionary, may be subject to conditions, and do not create a recurring obligation.

8a. Pricing and Price Changes

TRANZVIX HOSTING LTD reserves the right to modify prices, fees, and billing policies for any of our Services. Where a change to pricing results in an increase to recurring fees or a material change to pricing terms, we will provide at least thirty (30) days' advance notice to affected customers by email to the account contact and/or by posting a notice on the Website. Price changes will not apply retroactively to amounts already billed for completed billing periods. If you do not accept the new pricing, you may terminate affected services prior to the effective date of the change; continued use after the effective date constitutes acceptance of the new pricing.

8b. Payment and Billing Procedures

Accepted Payment Methods: We accept major credit cards (Visa, Mastercard, American Express), PayPal, bank transfers, and other payment methods as displayed during checkout. Payment processing is handled by third-party payment processors, and their terms and conditions also apply to your transactions.

Automatic Renewal: Services are set to automatically renew at the end of each billing period unless cancelled prior to the renewal date. By providing payment information, you authorize us to charge the payment method on file for recurring services. It is your responsibility to ensure your payment information remains current and valid.

Payment Failures and Late Fees: If a payment fails due to insufficient funds, expired cards, or other payment issues, your account may be suspended immediately. We may charge a late fee of £10 GBP (or equivalent in your billing currency) for each failed payment attempt. You are responsible for updating payment information and resolving failed payments promptly.

Suspension Policy: Accounts with unpaid balances may be suspended without notice. During suspension, services will be inaccessible, but data may be retained for a limited period. Accounts that remain unpaid for more than 30 days may be terminated permanently, resulting in data deletion. We are not liable for any consequences of account suspension or termination due to non-payment.

Dispute Resolution: Payment disputes must be raised within 30 days of the charge. We reserve the right to suspend services during dispute resolution. Chargebacks or payment reversals without prior contact may result in immediate account termination and additional fees to cover processing costs.

9. Disclaimer of Warranties

All services are provided "as is" and "as available" without warranties of any kind, except as expressly set forth in these Terms. Subject to applicable law, TRANZVIX HOSTING LTD warrants that it will use commercially reasonable efforts to: (a) provide at least 90% uptime availability measured over a calendar month; and (b) implement commercially reasonable security measures appropriate to the Services provided. These limited warranties are subject to scheduled maintenance, customer misconfiguration, force majeure events, and factors outside our control.

To the extent permitted by law, the foregoing warranty is your sole and exclusive remedy and TRANZVIX HOSTING LTD's entire liability for breach of the warranty will be limited to credits or refunds, at our discretion, calculated pro rata for the period affected. Except for the limited warranty above, we expressly disclaim all other warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

9a. Service Level Agreement (SLA) and Uptime

No Service Level Agreement: TRANZVIX HOSTING LTD does not offer any formal Service Level Agreement (SLA) or uptime guarantees beyond the limited warranty outlined in Section 9. While we strive to maintain reliable service and reasonable uptime, we make no commitments regarding specific availability percentages, response times, or performance metrics.

Service interruptions may occur due to scheduled maintenance, emergency repairs, network issues, force majeure events, third-party service failures, or other circumstances beyond our reasonable control. We will use commercially reasonable efforts to minimize disruptions and restore service promptly, but customers should not rely on uninterrupted availability for critical operations.

Customers requiring guaranteed uptime or specific performance metrics should implement their own redundancy, backup systems, and disaster recovery procedures. TRANZVIX HOSTING LTD is not liable for any losses, damages, or costs resulting from service interruptions, regardless of cause or duration.

10. Limitation of Liability

To the fullest extent permitted by law, TRANZVIX HOSTING LTD shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of your use or inability to use the Website or Services. Our total liability under any theory of law shall not exceed the total amount paid by you for services in the twelve (12) months preceding the claim.

Customer backups and security: Customers are solely responsible for maintaining independent backups of their data and systems. TRANZVIX HOSTING LTD is not liable for loss of data, damages resulting from customer misconfiguration, insecure credentials, or failure to apply security updates. Where we take emergency protective actions (e.g., suspensions or network mitigations) to protect infrastructure, we are not liable for any resulting disruption to customer services.

11. Termination

We reserve the right to suspend or terminate your access to the Website or Services, with or without notice, for violation of these Terms or applicable law.

11a. Effects of Termination

Upon termination of your account or Services for any reason: (a) your access to the Services will be immediately revoked; (b) all data, files, and content associated with your account will be permanently deleted within thirty (30) days unless otherwise required by law; (c) any outstanding fees or charges will become immediately due and payable; and (d) provisions of these Terms that by their nature should survive termination (including but not limited to intellectual property rights, indemnification, limitation of liability, and governing law) will continue in effect. You are solely responsible for retrieving any data or content prior to termination. We will not be liable for any loss of data or content resulting from account termination.

12. Force Majeure

TRANZVIX HOSTING LTD will not be liable for any failure or delay in performance of our obligations under these Terms that is due to events beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, labour disputes, cyberattacks against our infrastructure, failure of third-party services (including internet backbone providers, data centres, or DNS services), or other circumstances beyond our reasonable control. During such events, our obligations will be suspended to the extent necessary, and we will use commercially reasonable efforts to resume normal operations as soon as practicable.

13. Cookies and Tracking

Our Website uses cookies and similar tracking technologies to enhance user experience, analyse website usage, and provide relevant content. By using our Website, you consent to our use of cookies in accordance with this policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). You may control or disable cookies through your browser settings, though this may affect website functionality. 14. Indemnification

You agree to indemnify, defend, and hold harmless TRANZVIX HOSTING LTD, its directors, officers, employees, contractors, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees and costs of investigation) arising out of or related to: (a) your use of the Services; (b) content you host, transmit, or publish using the Services; (c) your violation of these Terms; or (d) your violation of applicable law. We reserve the right to control the defence and settlement of any claim for which you must indemnify us, and you will cooperate with our defence as reasonably requested.

15. Governing Law and Jurisdiction

For customers based in the United States, these Terms shall be governed by and interpreted in accordance with the laws of the United States of America. You agree to submit to the exclusive jurisdiction of the courts located within the United States for the resolution of any disputes.

For all other customers, these Terms shall be governed by and interpreted in accordance with the laws of the United Kingdom of Great Britain and Northern Ireland. You agree to submit to the exclusive jurisdiction of the courts located within the United Kingdom for the resolution of any disputes.

16. Arbitration Clause for U.S. Customers

Notwithstanding the provisions set forth in Section 15, any disputes, claims, or controversies arising out of or relating to these Terms, the Website, or the use of TRANZVIX HOSTING LTD services by customers based in the United States shall be resolved exclusively through binding arbitration. The arbitration shall be conducted remotely via a mutually agreed-upon video conferencing platform, including but not limited to Google Meet, Microsoft Teams, or Discord.

The default language of arbitration shall be Romanian. However, arbitration may be conducted in any other language if the user provides, at their own expense, a competent translator capable of translating the proceedings into Romanian for TRANZVIX HOSTING LTD. In cases where arbitration is conducted in English, TRANZVIX HOSTING LTD shall provide its own translator to translate the proceedings into Romanian as needed.

The arbitration shall be governed by the substantive provisions of United States federal arbitration law, excluding any provisions that require the arbitration to be held physically within the United States.

By using our Services, U.S.-based customers expressly waive their right to pursue claims in any court of law and agree to resolve all disputes exclusively through remote arbitration as specified herein. Both parties consent to the recording of arbitration proceedings for the sole purpose of maintaining an accurate record. Recordings may be shared with the arbitrator and relevant legal representatives as needed, but will not be made public.

Each party shall bear its own costs and legal fees unless otherwise awarded by the arbitrator. Notwithstanding the foregoing, if TRANZVIX HOSTING LTD is found not liable or not guilty in the arbitration, the user agrees to pay TRANZVIX HOSTING LTD's reasonable legal fees and costs to the extent permitted by applicable U.S. law and the arbitrator.

The arbitrator's decision shall be final and binding and may be enforced in any competent jurisdiction.

For customers outside the United States, the governing law and jurisdiction provisions outlined in Section 15 shall apply.

By using our Services, U.S.-based customers expressly waive their right to pursue claims in any court of law and agree to resolve all disputes exclusively through remote arbitration as specified herein.

17. No Third-Party Beneficiaries

Nothing in these Terms shall be interpreted as conferring any rights to third parties.

18. Severability

If any part of these Terms is held to be invalid or unenforceable, the remainder shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and TRANZVIX HOSTING LTD regarding the use of our Website and Services, superseding all prior agreements and understandings.

19a. Contact and Support Expectations

Support Channels: General customer support is available through our support ticket system accessible via our customer portal, or by emailing support@tranzvix.com. For billing inquiries, contact billing@tranzvix.com. For abuse reports, use abuse@tranzvix.com. Legal matters should be directed to legal@tranzvix.com. Privacy requests should be sent to privacy@tranzvix.com.

Response Times: We aim to acknowledge support requests within 24-48 hours during business days (Monday through Friday, excluding UK holidays). Complex technical issues may require additional time to resolve. Emergency situations involving security breaches or service outages will receive priority attention.

Support Limitations: Support is provided for our hosting services and infrastructure only. We do not provide support for third-party software, custom applications, or general technical consultations. Support is available in English; we may not be able to provide support in other languages.

Communication Policy: All support communications must be professional and respectful. Abusive, threatening, or inappropriate communications may result in delayed responses or account suspension. Repeated requests about the same issue without allowing reasonable time for response may be delayed or deprioritized.

No Guaranteed Response: While we strive to respond promptly, we do not guarantee specific response times or resolution timeframes. Support availability may be limited during weekends, holidays, or emergency situations. Customers requiring guaranteed support response times should consider dedicated support arrangements.

20. Copyright Infringement and Takedown Requests

TRANZVIX HOSTING LTD is incorporated and registered in the United Kingdom. As such, we are primarily subject to UK and EU law and are not generally subject to the United States Digital Millennium Copyright Act (DMCA). We are not a designated DMCA agent under 17 U.S.C. § 512(c) and do not routinely process DMCA notices directed at services that are not subject to U.S. jurisdiction.

U.S.-related cases: If the alleged infringement concerns (a) content hosted on infrastructure physically located in the United States, or (b) services provided to or for a customer domiciled in the United States, TRANZVIX HOSTING LTD will comply with valid DMCA notices to the extent required by U.S. law. In such cases, takedown actions may include temporary or permanent removal of the allegedly infringing content, suspension of services, or other actions as legally necessary. We reserve the right to require formal, legally compliant notices, including all information mandated by 17 U.S.C. § 512(c)(3).

Non-U.S. cases: For all other situations, including services provided to customers outside the United States or hosted on infrastructure located outside the United States, DMCA procedures do not apply. Takedown requests will instead be considered under UK copyright law (Copyright, Designs and Patents Act 1988) and the Electronic Commerce (EC Directive) Regulations 2002. Under these laws, TRANZVIX HOSTING LTD benefits from "mere conduit" and "hosting provider" safe-harbour protections, which limit liability provided we act expeditiously to remove or disable access to infringing material once we have actual knowledge of infringement. Accordingly, we will take action where legally compelled and only upon receipt of a notice that provides sufficient detail to establish infringement under applicable law.

Customer responsibility: All hosting customers are solely responsible for the content they upload, store, transmit, or otherwise make available through our services. TRANZVIX HOSTING LTD acts exclusively as an infrastructure provider and does not create, monitor, moderate, or pre-screen user-generated content. Customers agree to indemnify and hold harmless TRANZVIX HOSTING LTD against any and all claims, damages, liabilities, and expenses arising out of their content or use of the services.

Limitations of involvement: TRANZVIX HOSTING LTD is not a party to disputes between customers and third parties, including copyright holders. We will not arbitrate, mediate, or otherwise involve ourselves in such disputes beyond actions legally required under the laws applicable to us. Where counter-notices or objections are permitted by law (e.g., under DMCA § 512(g) in U.S. cases), we may forward such filings to the complainant but do not guarantee restoration of content or continuation of service.

21. Security, Enforcement, and Incident Response

To protect our network, customers, and infrastructure, and to comply with applicable law, TRANZVIX HOSTING LTD maintains the right to take swift and decisive enforcement actions when we detect or receive credible reports of abuse, illegal activity, or material breaches of these Terms.

These measures are designed to balance legal compliance, customer privacy, and the security of our platform. Where possible, we will provide affected customers notice and an opportunity to remedy non-criminal infractions; however, in cases involving immediate threat to infrastructure, public safety, or clear illegality, we may act without prior notice.

22. Privacy Policy

We are committed to protecting your privacy in accordance with the General Data Protection Regulation (GDPR). Your personal data is only collected when necessary and used strictly for providing our services, legal compliance, billing, and essential communication.

We do not sell, trade, or rent your personal data to third parties. All data is stored securely, and we implement appropriate technical and organisational measures to protect your information from unauthorised access or misuse.
